Mr. Giorgianni practices in the area of transactional real estate law. Mr. Giorgianni’s experience includes representation of landlords, tenants and sublandlords in the drafting and negotiation of leases; representation of property owners and developers in the drafting and negotiation of construction, design and project-management contracts; representation of lenders and borrowers in real estate financings; and representation of buyers and sellers in acquisitions and dispositions of real estate and other assets.

Representative Matters

• Co-represented developer involving a $1.2 billion credit facility secured by over 20 multifamily housing properties
• Represented developer who acquired raw land and developed for-sale commercial condominiums throughout California, Oregon, Washington, Nevada, New Mexico and Colorado; most transactions involved significant title and land use issues
• Represented publicly traded company based in Silicon Valley in connection with its acquisition of corporate headquarters for its semi-conductor business; transaction involved the assumption of seller’s existing loan
• Represented privately held corporation in its acquisition and disposition of numerous multifamily apartment complexes throughout California; most transactions involved forward and reverse IRS §1031 Exchanges
• Represented investors in their acquisition of a winery in Napa Valley which had significant easement and access issues
• Co-represented landlord in the leasing of two office towers in North San Jose totaling approximately 265,000 square feet of office/R&D space
• Represented affiliate of San Jose State University in its disposition of student housing
• Represented landlord in connection with leasing an automotive center, restaurant and various retail stores
• Represented family trusts in connection with their acquisition of medical facility projects located in Arizona
