ASSOCIATE ATTORNEY - MERCED OFFICE

Berliner Cohen, LLP seeks an experienced Attorney with interest or experience in estate planning, estate settlement, research, taxation, trust administration, and litigation for its Merced office. The ideal candidate will have 3-5 years of experience. Newer attorneys with exceptional academic credentials will also be considered. 

The successful candidate will have strong local ties, a desire to live and work in the Merced area, a strong academic background, a proven track record of strong performance, and measurable results with exceptional communication, analytical, and writing skills.  Attorneys with less than three years of experience are requested to provide unofficial law school transcripts and writing samples (3-page maximum).

ASSOCIATE ATTORNEY FOR BUSINESS/CORPORATE – SAN JOSE OFFICE

Berliner Cohen, LLP is seeking a Business/Corporate Associate for its San Jose location.  The ideal candidate will have 4-7 years of experience in sophisticated transactional business matters, including demonstrated experience in drafting and negotiating agreements in the areas of business formation, choice of entity work, buy/sell agreements, general corporate transactional work, and mergers and acquisitions.  An LL.M. in Taxation or experience in tax matters is not required, but it is preferred.

Excellent academic credentials, analytical, writing and communication skills are required.

 

ASSOCIATE ATTORNEY FOR LAND USE & MUNICIPAL LAW DEPARTMENT - SAN JOSE OFFICE

Berliner Cohen LLP is seeking an associate to work in its San Jose office as part of the firm's Municipal Law & Land Use practice group.  Our practice group represents two cities as city attorneys. We also act as special counsel for a variety of public agencies and represent private clients. The firm is a premier, medium-sized boutique law firm with offices in San Jose and the Central Valley.  Candidates must be members in good standing with the State Bar of California. 

The ideal candidate will have at least two years of experience with such matters as the California Environmental Quality Act, planning and zoning, public contracting, open government and ethics, affordable housing, or general municipal practice.

ASSOCIATE ATTORNEY FOR REAL ESTATE DEPARTMENT- SAN JOSE OFFICE

Our San Jose Office has an immediate opening for a mid-level Associate Attorney in its transactional real estate group. The successful candidate will have 3-7 years of experience in sophisticated transactional real estate matters, including demonstrated experience in drafting and negotiating contracts in the areas of property acquisition/disposition, leasing, and financing. Excellent academic credentials, analytical, writing and communication skills are required.

LITIGATION SECRETARY - SAN JOSE OFFICE

Berliner Cohen LLP, a mid-sized law firm in San Jose, has an immediate opening for a highly-skilled Litigation Secretary with at least 5 years of stable employment experience supporting multiple litigation attorneys.

The successful candidate will have advanced knowledge of MS Word to create and edit correspondence, briefs, pleadings, TOA's, TOC's, and other legal documents. Must be proficient at e-filing and know Federal and State court rules.

Additional responsibilities include maintaining attorney calendars, scheduling meetings and depositions, expense reports, check requests, and coordinating the maintenance of client files. Familiarity with utilizing a document management system such as NetDocs is helpful. Strong organizational skills and the ability to juggle multiple priorities in a fast-paced, team-oriented environment are imperative.

PARALEGAL - CORPORATE, REAL ESTATE, AND ESTATE PLANNING PRACTICES -  MODESTO OFFICE

Berliner Cohen, LLP's Modesto Office has an immediate opening for a skilled paralegal for our Corporate, Real Estate, and Estate Planning practices. Experience in at least one of those areas, and the willingness and ability to work at a high level in all three areas, is a requirement for this position.

The successful candidate will have strong organizational and time management skills, excellent written and verbal communication skills, and the ability to support multiple attorneys. Must have excellent knowledge of Microsoft Word and a minimum of three years’ experience as a paralegal or combination paralegal/legal secretary. Duties will include:

  • Preparing and maintaining corporate records, including formation documents, state filings, minute books, and transaction documents.
  • Issuing shares.
  • Preparing leases and related documents.
  • Preparing basic contracts, and revising complex agreements under the direction of supervising attorneys.
  • Preparing trusts, wills, powers of attorney, advance health care directives, and related documentation.
  • Preparing deeds and other estate and trust funding documentation.
  • Preparing letter and email communications relating to the above duties.
