  • Represented a Silicon Valley technology company with over 20 subsidiaries in connection with its $250,000,000 acquisition by a public company.
  • Advised affiliate construction companies with the $88,000,0000 financed purchase of all the issued and outstanding securities of each acquired entity by a publicly traded company.
  • Completed a tax-free reorganization under IRC 368(a)(1)(F) and subsequent $60,000,000 sale of membership interests to a private equity firm.
  • Represented a California-based IT company with its $300,000,000 stock sale to a public company.
  • Completed a tax-free reorganization of a California beer company utilizing a reverse triangular merger structure.
  • Obtained a Private Letter Ruling from the IRS granting an extension of time to make a regulatory election under IRC 336(e) following the target shareholder’s failure to submit the required election statement.
  • Handled numerous equity/ debt financing transactions, SAFE investments, and asset sales.
